This End-User License Agreement (“Agreement”) governs use of the KC Dawgz QuickBooks Integration (“the Software”), an internal application that connects to QuickBooks Online to retrieve accounting data for internal reporting. By installing, connecting, or using the Software, the individual or entity using it (“You”) agrees to this Agreement. If You do not agree, do not use the Software.
1. License grant
Licensor grants You a limited, non-exclusive, non-transferable, revocable license to use the Software solely for Licensor’s internal business reporting purposes and only as authorized by Licensor. No rights are granted except as expressly stated here.
2. Restrictions
You will not: (a) use the Software other than for authorized internal purposes; (b) sell, license, sublicense, distribute, or make the Software available to any third party; (c) copy, modify, reverse engineer, decompile, or create derivative works except as permitted by law; (d) remove proprietary notices; or (e) use the Software to access any QuickBooks company You are not authorized to access.
3. Read-only operation
The Software accesses QuickBooks data on a read-only basis and does not write to, modify, or delete data in QuickBooks. You will not attempt to use the Software or its credentials to write to QuickBooks.
4. Credentials and security
You are responsible for safeguarding any OAuth tokens, keys, or credentials used with the Software and for using them only as authorized. You will promptly report any suspected compromise so access can be revoked.
5. Data
Use of data retrieved through the Software is governed by our Privacy Policy (update this link to the final published URL). The Software accesses only the accounting data described there and does not use it for any purpose other than internal reporting.
6. Intellectual property
The Software and all related intellectual property are and remain the property of Licensor and its licensors. This Agreement does not transfer any ownership.
7. Third-party services
The Software connects to Intuit’s QuickBooks Online API and may use other third-party services (see the Privacy Policy). Your use of those services is subject to their respective terms. Intuit is not a party to this Agreement, does not endorse the Software, and has no responsibility for it.
8. Disclaimer of warranties
THE SOFTWARE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. We do not warrant that the Software will be uninterrupted, error-free, or that reported figures are accurate; they are informational and are not a substitute for official accounting records.
9. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LICENSOR WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THE SOFTWARE. Our total liability for any claim will not exceed USD $100 or the amount You paid for the Software (if any), whichever is greater.
10. Termination
Licensor may suspend or terminate this license at any time. Upon termination You must stop using the Software and disconnect its access to QuickBooks. Sections 6–9 and 11 survive termination.
11. Governing law
This Agreement is governed by the laws of the State of Kansas, without regard to its conflict-of-laws rules. The parties submit to the exclusive jurisdiction of the state and federal courts located in Johnson County, Kansas.
12. Changes
We may update this Agreement; the “Effective date” reflects the latest version, posted at this URL. Continued use after changes constitutes acceptance.
